Terms of Service

1. Acceptance of Terms

By accessing or using Helix, operated by Neuro Spark Portal L.L.C, you agree to be bound by these Terms of Service. If you do not agree, you may not use the platform.

Using Helix means you accept these terms. If you're using Helix on behalf of an organization, you represent that you have the authority to bind that organization.

2. Description of Service

Helix is a product development platform that provides AI-assisted tools for ideation, planning, and documentation. Features include:

• AI expert personas for guided product development
• Canvas workspaces for visual planning
• Document management and collaboration
• Conversational AI assistants

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for:

• Maintaining the confidentiality of your credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

You must be at least 16 years of age to use Helix.

4. Your Content

You retain ownership of all content you create, upload, or input into Helix, including ideas, briefs, documents, and canvas materials.

Your content is yours. We do not claim ownership of anything you create on Helix, and we do not use your content to train general AI models.

You grant us a limited license to process, store, and display your content solely to provide and improve the service for you.

5. Acceptable Use

You agree not to:

• Use Helix for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to other accounts or systems
• Reverse engineer, decompile, or disassemble any part of the platform
• Interfere with or disrupt the integrity or performance of the service
• Use automated means to access the platform beyond provided APIs
• Resell or redistribute access to Helix without authorization

6. Multi-Tenant Environment

Helix operates as a multi-tenant platform. Each organization's data is logically isolated. You agree not to attempt to access data belonging to other organizations.

7. AI-Generated Content

Helix uses AI models to provide suggestions, analysis, and content generation. You acknowledge that:

• AI outputs may not always be accurate, complete, or suitable for your needs
• You are responsible for reviewing and validating AI-generated content
• AI-generated content should not be relied upon as professional, legal, or financial advice

8. Subscription & Billing

Paid features are billed according to the plan selected at signup. By subscribing, you agree to:

• Pay all fees associated with your selected plan
• Automatic renewal unless cancelled before the renewal date
• Fee changes communicated at least 30 days in advance

Refunds are handled on a case-by-case basis. Contact support@helixcanvas.ai for billing inquiries.

9. Intellectual Property

The Helix platform, including its design, code, branding, and documentation, is the intellectual property of Neuro Spark Portal L.L.C. Nothing in these terms grants you rights to our intellectual property beyond using the service as intended.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance, and we reserve the right to modify or discontinue features with reasonable notice.

11. Limitation of Liability

To the maximum extent permitted by law, Neuro Spark Portal L.L.C shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities arising from your use of Helix.

12. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these terms. Upon termination:

• Your right to access the platform ceases immediately
• You may request export of your data within 30 days
• We will delete your data in accordance with our Privacy Policy

13. Governing Law

These terms are governed by the laws of the United Arab Emirates, specifically the Emirate of Dubai. Disputes shall be resolved through the courts of Dubai.

14. Changes to Terms

We may update these terms from time to time. Material changes will be communicated via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
